TERMS & CONDITIONS

JOYOmedia VOF – JOYOmaintenance

Effective date: 13-02-2026


1. Applicability

These Terms apply worldwide and primarily to business clients.


2. Services

Services are provided strictly on a best-effort basis.

Security monitoring, uptime monitoring and optimization do not constitute absolute guarantees.


3. Subscription & Payment

  • Monthly payment in advance

  • Immediate due date

  • No refunds for partial months

  • Automatic payment processing via Stripe


4. Late Payment & Suspension

If payment is not received:

  1. A reminder will be issued.

  2. Services will be suspended immediately if unpaid.

  3. If hosted under JOYOmedia infrastructure, the website may be taken offline.

The Client remains liable for all outstanding amounts.


5. Price Adjustments

JOYOmedia reserves the right to adjust pricing due to:

  • Inflation

  • Hosting cost increases

  • Regulatory changes

  • Operational cost changes

Clients will be notified at least 30 days in advance.


6. Acceptable Use

Clients may not use services for:

  • Illegal activities

  • Distribution of malware

  • Spam or phishing

  • Fraudulent activities

  • Copyright infringement

Violation may result in immediate termination.


7. Limitation of Liability

To the maximum extent permitted by Dutch law:

JOYOmedia shall not be liable for:

  • Indirect damages

  • Loss of revenue

  • Loss of data

  • SEO damage

  • Business interruption

  • Third-party failures

  • Hosting outages

  • Cyber attacks

Liability, if legally established, is limited to the total amount paid by the Client in the preceding three (3) months.

Nothing excludes liability for intentional misconduct or gross negligence where legally required.


8. Force Majeure

JOYOmedia is not liable for delays or failures caused by circumstances beyond reasonable control, including:

  • Hosting provider failures

  • DDoS attacks

  • Cyber incidents

  • Government restrictions

  • Internet outages

  • Natural disasters

Obligations are suspended during such events.


9. Hosting

Hosting is provided via third-party infrastructure (Hostinger).

Temporary outages may occur.

Absolute uptime is not guaranteed.


10. Intellectual Property

All website content remains the property of the Client.

JOYOmedia may reference non-confidential work for portfolio purposes.


11. Chargebacks

Clients agree not to initiate unjustified chargebacks.

If a chargeback is initiated without valid legal grounds, the Client remains liable for:

  • Outstanding amounts

  • Administrative costs

  • Legal costs


12. Termination

Clients may cancel at any time.

JOYOmedia may terminate immediately for:

  • Non-payment

  • Abuse

  • Illegal activity


13. Severability

If any provision is deemed invalid, the remaining provisions remain enforceable.


14. Governing Law

Dutch law applies exclusively.

Disputes shall be submitted to the competent court in the Netherlands.
